API Partners - Terms & Conditions

This page outlines the terms under which Solver API partners ("Partners") may access and use the services provided by PropellerHeads ("PropellerHeads," "we," "us," or "our") through its application programming interface ("API").

1. Compliance with Laws

  • Partners agree to use the Solver API in compliance with all applicable laws and regulations of their jurisdiction.

  • It is the Partner's responsibility to ensure that they do not facilitate the use of PropellerHeads's services by prohibited persons or entities.

2. Prohibited Jurisdictions

  • Partners must not provide services via the Solver API to "US Persons," defined as any citizen, resident, or entity within the United States of America or its territories, or to individuals or entities in North Korea, Russia, South Sudan, Cuba, Libya, Iran, the Democratic Republic of Congo, or Yemen.

3. Due Diligence

  • Partners are required to implement and maintain effective user identification and screening processes to ensure compliance with the above stipulations.

  • Partners must regularly verify that their users are not from the prohibited jurisdictions and take immediate corrective actions if such a case is discovered.

4. Indemnification

  • Partners agree to indemnify and hold harmless PropellerHeads from any legal claim, penalty, loss, or damage arising out of the Partner's breach of these terms, including but not limited to serving prohibited persons or entities.

5. Notification of Breach

  • In the event that a Partner becomes aware of a breach of these terms, particularly regarding the prohibition of serving US Persons and individuals or entities from the specified jurisdictions (“Prohibited Jurisdictions”), they must notify PropellerHeads immediately.

6. Termination

  • PropellerHeads reserves the right to terminate a Partner's access to the API services if they are found to be in violation of these terms.

7. Amendments

  • PropellerHeads may amend these terms at any time.

  • Continued use of the API after such amendments constitutes acceptance of the new terms.

By accessing or using the Solver API, Partners acknowledge and agree to these terms and conditions. It is the Partner's responsibility to review these terms periodically for any changes.

Acceptance of Terms

By utilizing the Solver API, Partners indicate their explicit acceptance of these terms and conditions and the responsibility to ensure that their end-users adhere to the compliance standards as outlined herein.
